Contract review prompt

A copy-and-paste prompt for ChatGPT, Claude or Gemini that gets a professional contract review on the first try, plus the cheapest model that does it well.

What most people type

can you review this freelance contract and tell me if anything is bad for me? [contract pasted below] ... Section 4: Client owns all work product including pre-existing materials. Section 7: Payment net 90. Section 9: Contractor indemnifies client for all claims.

It works, but the AI has to guess your full contract text, my role/type of work and jurisdiction/governing law, so the first answer usually needs another round. The version below asks for exactly what a professional would deliver.

The better prompt

Review this freelance contract from my side as the contractor and flag anything that is risky or unfavorable to me.

Contract details I've given so far:
- Section 4: Client owns all work product including pre-existing materials.
- Section 7: Payment net 90.
- Section 9: Contractor indemnifies client for all claims.

[paste full contract text here]

My context: [my role/type of work], [jurisdiction/governing law], [contract value and project length].

For each issue, give:
1. The section and the clause in plain language.
2. Why it is a risk for me.
3. Severity (high, medium or low).
4. A specific change to ask for, with suggested replacement wording where useful.

Cover Sections 4, 7 and 9 first, then any other problem clauses in the full text, such as scope, revisions, termination, liability caps, non-compete, late payment and kill fees. Also note important protections that are missing. Order the issues by severity.

Don't invent contract terms that aren't in the text. If a clause is unclear or depends on local law, say so. End with a note that this is general information, not legal advice, and which points are worth taking to a lawyer.

Replace the [brackets] with your details before you send it: paste full contract text here, my role/type of work, jurisdiction/governing law, contract value and project length.

Why this version works

  • Set perspective as contractor. Risk depends on whose side the review favors.
  • Added placeholder for full contract text. Review needs every clause, not just three.
  • Defined output per issue. Gives risk, severity and a fix for each clause.
  • Added jurisdiction and context placeholders. Contract risk varies by law and deal size.

What a professional contract review prompt covers

  • Asks for risk ranking of clauses
  • Suggested revisions or negotiation language
  • Jurisdiction placeholder
  • Asks the AI to note it is not legal advice or to flag when a lawyer is needed

Watch out for

  • Drops the contract text

Best AI model for this prompt

This is a hard reasoning task: contract review: missing a risky clause ruins it, and it concerns the user's own legal situation. You don't need the most expensive model. The cheapest model at each company that handles it well:
